Terms and Conditions for Agrilytix
1. Acceptance of Terms By accessing and using the Agrilytix website and services, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our services.
2. Service Description Agrilytix provides a digital platform for agricultural ingredient sourcing, including RFx management and reverse auction services tailored for the confectionery, bakery, pastry, and broader agricultural sectors.
3. User Registration Users must register and create an account to access certain features of the platform. You agree to provide accurate and complete information and to keep this information up-to-date.
4. User Responsibilities Users are responsible for maintaining the confidentiality of their account information and for all activities that occur under their account.
5. Intellectual Property All content and materials on the Agrilytix platform, including text, graphics, logos, and software, are the property of Agrilytix or its licensors and are protected by intellectual property laws.
6. User Content Users may submit content to the platform. By submitting content, you grant Agrilytix a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content.
7. Prohibited Conduct Users may not use the Agrilytix platform for any illegal or unauthorized purpose, nor may they, in the use of the Service, violate any laws in their jurisdiction.
8. Disclaimer of Warranties The Agrilytix platform is provided "as is" and "as available" without any warranties, express or implied, including but not limited to the implied warranties of merchantability or fitness for a particular purpose.
9. Limitation of Liability Agrilytix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.
10. Indemnification You agree to indemnify and hold harmless Agrilytix and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses arising from your use of the Service or your violation of these Terms.
11. Changes to Terms Agrilytix reserves the right to modify these Terms at any time. Your continued use of the Service following such changes will constitute your acceptance of the new Terms.
12. Governing Law These Terms shall be governed by and construed in accordance with the laws of Czech Republic and General European Law, without regard to its conflict of law provisions.

14. Premium Start Waiting List and Refundable Deposit
14.1. Premium Start Option By opting for the Premium Start option on the Agrilytix waiting list, you agree to the following terms
14.2. Refundable Deposit A refundable deposit of €99 is required to join the Premium Start waiting list. This deposit is to be paid at the time of registration and will be held by Agrilytix until the launch of the platform.
14.3. Deduction and Refund:
If you proceed with the subscription at launch, the deposit will be deducted from your first subscription payment.
If you choose not to proceed with the subscription at the time of launch, the deposit will be fully refunded to you.
Option to Request Refund: Users who have opted for the Premium Start option and have paid the refundable deposit of €99 may request a refund of this deposit at any time before the launch of the platform.
Processing of Refunds: Upon receiving a refund request, Agrilytix will process and return the deposit in full to the user.
To confirm the Refund You have to prove that payment was provided by you. Please, send an email to info@agrilytix.eu with a confirmation of deposit payment and we will send the Deposit back.
Associated Costs Borne by User: Any associated costs incurred in the refund process, such as transfer fees, will be borne by the user. Agrilytix is not responsible for these additional costs.
14.4. Commitment The deposit acts as a sign of commitment and helps Agrilytix distinguish genuinely interested users from casual browsers, enabling focused resource allocation.
14.5. Early Access and Discounts Users who join the Premium Start waiting list will be among the first to access the platform and will enjoy a 50% discount on their tariff plan for the initial 6 months of service.
14.6. Terms of Service All other terms and conditions stated in this agreement apply to users who opt for the Premium Start option.
